The agreement between you and TransiMed when you use our platform. Read carefully — by using the Service you agree to these terms.
Acceptance of Terms
These Terms of Service ("Terms") govern your access to and use of TransiMed (the "Service"), operated by TransiMed. By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.
If you are using the Service on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.
Description of the Service
TransiMed is a software platform for non-emergency medical transportation (NEMT) operators. It provides tools for trip dispatching, driver management, fleet tracking, document compliance, member booking, broker integrations, billing, and reporting.
Accounts
To use most features of the Service, you must create an account or be invited to a company workspace. You agree to:
- Provide accurate, current, and complete information.
- Keep your password confidential and secure.
- Be responsible for all activity that occurs under your account.
- Notify us immediately of any unauthorized access or use.
We reserve the right to suspend or terminate accounts that violate these Terms.
Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of applicable law.
- Upload or transmit viruses, malware, or other harmful code.
- Attempt to gain unauthorized access to the Service, other accounts, or related systems.
- Reverse engineer, decompile, or disassemble any part of the Service.
- Use the Service to send unsolicited communications, spam, or fraudulent content.
- Interfere with or disrupt the integrity or performance of the Service.
- Resell, rent, lease, or sublicense the Service without our prior written consent.
Customer Data
You retain all rights to the data you upload, including trips, members, documents, and operational records ("Customer Data"). By using the Service, you grant us a non-exclusive license to host, process, and display your Customer Data solely to provide and improve the Service.
You are responsible for the accuracy, legality, and compliance of your Customer Data with applicable laws, including any laws that govern the handling of patient or health-related information in your jurisdiction.
Subscription and Payment
Some features of the Service may require a paid subscription. By subscribing, you agree to:
- Pay all applicable fees as described at the time of purchase.
- Provide valid and current payment information.
- Authorize us to charge your payment method for recurring fees on the agreed billing cycle.
All fees are non-refundable unless otherwise stated. We may change pricing with at least 30 days' notice before the next billing cycle.
Third-Party Integrations
The Service may integrate with third-party providers (brokers, mapping services, payment processors, email providers, etc.). Your use of those services is governed by the third party's own terms. TransiMed is not responsible for the availability, accuracy, or actions of third-party services.
Intellectual Property
The Service, including its software, design, logos, and trademarks, is owned by TransiMed and protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service for its intended purpose. All rights not expressly granted are reserved.
Disclaimers
The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or fully secure.
Limitation of Liability
To the maximum extent permitted by law, TransiMed shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or in connection with your use of the Service. Our total liability for any claim shall not exceed the amount you paid us in the twelve (12) months preceding the claim.
Indemnification
You agree to indemnify and hold TransiMed, its officers, employees, and agents harmless from any claims, damages, liabilities, or expenses arising out of your use of the Service, your Customer Data, or your violation of these Terms.
Termination
You may stop using the Service and cancel your subscription at any time. We may suspend or terminate your access if you violate these Terms or for any other reason at our reasonable discretion. Upon termination, your right to use the Service ceases immediately, but provisions that by their nature should survive termination (e.g., intellectual property, indemnification, limitation of liability) will continue in effect.
Governing Law
These Terms are governed by the laws of the jurisdiction in which TransiMed is incorporated, without regard to conflict of law principles. Any disputes arising out of these Terms shall be resolved in the competent courts of that jurisdiction.
Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated by email or in-app notice. Your continued use of the Service after the changes take effect constitutes your acceptance of the updated Terms.
